We are seeking new associates who are motivated to contribute their talents to making cost-effective solar energy an important part of the world's energy mix. - Primary Job Functions: Job Title : Senior Manager, Project Finance & Asset Management, Japan Reports To : Director, Project Finance, APAC FLSA Job Status : Exempt Basic Job Functions : Senior Manager will be responsible for supervising, directing and executing project financings for PD/EPC developed projects and leading financial support for and management of FSLR's pipeline in Japan. This candidate must have a strong understanding of the financial markets, the solar photovoltaic industry, the Japan power industry, project finance market and capability to utilize that understanding to develop and execute a financing and asset ownership/sale plan. Also will provide oversight for asset management and evaluation from an ownership perspective of all of FSLR's developed pipeline in Japan during crucial construction, commissioning and commercial operations. Also responsible for supporting new development efforts in the Japan, including utility-scale, off-grid and C&I opportunities with financial analysis and support for due diligence and commercial negotiations. The Senior Manager shall work closely with the Japan business and project development teams to identify, structure and pursue new pipeline opportunities, and will be closely involved in all aspects of the sale process from origination and negotiation, through to execution, asset sales, and asset management to the extent required. The Senior Manager shall manage and own all aspects of assigned transactions including structure, schedule, diligence and resource allocation. This will include managing FS personnel, 3rd party financial firms, outside legal resources and consultants; interface with appropriate EPC and FS personnel and systems; conduct or coordinate risk/feasibility analysis and internal approval processes; and implement a financial solution to achieve FS objectives. Senior Manager shall also assist the project finance group and Japan business and project development group to develop cost of capital models, budgets, accounting systems & convention and tax efficient financing structures. The Senior Manager will have day-to-day relationship responsibility with developers, clients and FS lenders and may be assigned portfolio management responsibility. Experience: • Experience in leading commercial negotiations of financing documentation, PSAs, Engineering Procurement and Construction Contracts and Operation & Maintenance agreements is required • Experience in the administration and management of power projects from an ownership perspective is required • 7+ years of experience in a related position • Demonstrated superior commercial and credit judgment • Demonstrated ability to set team objectives and manage resources to accomplish goals • Familiarity with a variety of financing structures • Experience managing transaction due diligence, documentation, rating process and capital syndication • Understanding of GAAP practices with respect to proposed transactions • Ability to conceptualize new business and financing structures to help achieve FS commercial objectives • Exposure to or experience with a high energy, fast paced environment Education: Bachelor's Degree - focus on finance or accounting preferred (either as main degree or components within degree) • Required Skills : Behavioral: • The ability to interact with others effectively within the corporate environment • Ability to take direction, identify problems, develop solutions, conduct analysis independently and in collaboration with others • Ability to work independently, manage multiple tasks and projects • Ability to lead financing team - set objectives and control resource allocation • Creative thinker with the ability to make decisions and execute effectively • Excellent inter-personal skills Technical: • Outstanding verbal and written communication skills • Detail oriented person with ability to also understand the 'big picture' • Outstanding quantitative skills and ability to work with and conceptualize complex financial issues • Understanding of financial markets: project & corporate debt and leveraged finance • Ability to negotiate commercial and financial legal documentation • Excellent organizational and managerial skills Essential Functions and Responsibilities: Integrate and lead team of developers and financial analysts • Work with EPC developers to market prospects, structure projects and manage commercial documentation • Work with approved 3rd party consultants and legal experts to execute project due diligence and documentation • Supervise the incorporation of project commercial arrangements and due diligence results into a project pro forma model • Supervise and execute project feasibility and risk analysis and prepare and manage transaction approval process • Lead the solicitation, negotiation, drafting, closing, syndication and administration of debt financings • Lead the solicitation, negotiation, drafting, closing, and administration of acquisitions and divestments • Work with FS accounting/controller teams to ensure project financial information is properly reported in company financial statements • Work with lenders and the relevant teams internally in relation to debt compliance and be responsible for ensuring successful execution of compliance tasks • Manage/oversee the performance of portfolio asset management functions • Give presentations - internal and 3rd party (IGC, cap mkts updates, syndication or ratings) • Assist in the conceptualization of EPC and O&M contracts and all appropriate guarantees or other credit support • Work to develop low cost sources of financing
